Terms of Service

This document governs the use of natix.chat. Read together with our Privacy Policy.

1. Acceptance of terms

By creating an account or using natix.chat, you agree to these Terms and to the Privacy Policy. If you do not agree, please do not use the service.

The service provider is Natix (hereafter "we", "Natix" or "Provider"), with contact point at hello@natix.ro.

2. Service scope

natix.chat is a SaaS platform that enables:

  • Creating and operating specialized AI agents organized into departments within workspaces (teams)
  • Uploading and indexing documents for Retrieval-Augmented Generation (RAG)
  • Integration with third-party services (Gmail, Outlook, Google Drive, OneDrive, Notion, etc.) via OAuth
  • Business automations based on AI agents
  • Multi-user collaboration within a workspace

3. Eligibility and account

  • You must be at least 16 years old to use the service
  • You are responsible for the security of your credentials (password, OAuth tokens, OTP codes)
  • You must provide accurate, current information
  • One individual may only have a single account on the Free plan
  • If you use the service on behalf of a legal entity, you represent that you have the authority to do so

4. Your content

4.1 Ownership

You retain all rights to the messages, documents and configurations you upload or generate through natix.chat ("User Content"). Natix does not claim ownership.

4.2 Operational license

You grant us a limited, non-exclusive, royalty-free license to store, process and transmit User Content solely for the purpose of providing the service (including via the sub-processors listed in the Privacy Policy). The license terminates automatically upon account deletion.

4.3 AI-generated content

Responses generated by AI agents ("Outputs") are yours, provided you comply with these Terms and with the terms of the underlying model providers (Anthropic/AWS). AI Outputs may be inaccurate, incomplete or biased — you are responsible for verifying them before relying on them for decisions.

5. Acceptable use

You may not:

  • Use the service for illegal, fraudulent or rights-infringing activities
  • Generate or distribute illegal, defamatory, discriminatory, violent or pornographic content
  • Circumvent usage limits, rate limits or security measures
  • Share credentials or allow unauthorized access
  • Use the service to train competing AI models or for bulk scraping
  • Reverse engineer, decompile or extract system prompts
  • Upload malicious code, viruses or content that harms the infrastructure
  • Use the service to make automated decisions with significant legal impact on third parties without human oversight
  • Process third-party personal data without valid legal basis (you are GDPR controller for data you upload)

Violation may result in immediate suspension or account closure without refund.

6. Plans, pricing and payments

6.1 Plans

  • Free: free plan with reduced limits (messages, tokens, storage)
  • Starter / Pro / Team / Enterprise: paid plans with extended limits and additional features
  • Credit packs: one-time purchases for extra messages

6.2 Billing

  • Payments are processed by Stripe in EUR
  • VAT is applied per EU law (OSS/IOSS for consumers, reverse-charge for EU businesses with valid VAT ID)
  • Subscriptions renew automatically at the end of each period (monthly/yearly), with 7-day email reminder
  • Invoices are available in your account

6.3 Right of withdrawal (EU consumers)

As an EU consumer, you have the legal right to withdraw within 14 days of purchase, per Romanian Emergency Ordinance 34/2014 (transposing Directive 2011/83/EU). However, if you start using the service during this period (send messages, upload documents), you lose the right of withdrawal proportionally to the use — per art. 16 letter m of OUG 34/2014. Credit packs already consumed are NOT refundable.

6.4 Pricing

We reserve the right to change prices with 30-day email notice. Changes only affect future billing periods — never retroactively.

6.5 Non-payment

If a payment fails, we retry up to 3 times over 7 days. If unsuccessful, the account is automatically downgraded to the Free plan (with reduced limits) and paid features are disabled until settlement.

7. Usage limits

Each plan has monthly limits (messages, tokens), storage limits (bytes), and caps on workspaces and members. Limits are enforced automatically and visible in your dashboard. We reserve the right to apply technical rate limiting (requests/minute) to protect the infrastructure.

8. Availability and outages

We strive to maintain high availability, but the service is provided "as-is" with no uptime guarantee. Outages may occur for maintenance, updates, sub-processor incidents (AWS, Stripe) or force majeure.

Enterprise customers may sign a dedicated SLA with service credits — contact hello@natix.ro.

9. Intellectual property

  • The natix.chat platform, code, design, logo and documentation belong to Natix
  • Your content is yours (see section 4)
  • Using the service does not grant you rights to our trademarks

10. Third-party integrations

If you connect external integrations (Gmail, Outlook, Drive, Notion, etc.), their use is subject to the respective provider's terms. Natix is not responsible for their availability, changes or policy decisions. You can revoke access at any time from the Integrations page or from your provider account.

11. Privacy and security

We fully comply with GDPR and Romanian law. Data processing details are in the Privacy Policy. We notify security incidents within 72 hours per GDPR obligations.

12. Limitation of liability

To the maximum extent permitted by law:

  • Natix is not liable for indirect damages, lost profits, data loss or opportunity loss
  • Natix's total cumulative liability may not exceed the amount paid by you in the last 12 months before the event triggering liability
  • Limitation does not apply in cases of willful misconduct, gross negligence or violation of legally protected consumer rights
  • AI Outputs are informational — they do not constitute legal, medical, financial or professional advice

13. Indemnification

You agree to indemnify Natix for claims, damages or costs (including reasonable attorney fees) arising from: (a) your breach of these Terms, (b) uploading illegal content or content that infringes third-party rights, (c) using the service to process personal data without valid legal basis.

14. Suspension and termination

14.1 By you

You may close the account at any time from Settings. Data is deleted per the retention policy (see Privacy §9).

14.2 By us

We may suspend or terminate your account:

  • Immediately and without notice in case of serious breach of Terms, illegal activity or security risk
  • With 30-day notice for repeated non-payment or prolonged inactivity (over 24 months on Free)

In case of termination, you get 30 days to export your data (GDPR art. 20 — portability).

15. Changes to the Terms

We will notify you by email at least 30 days before material changes. Minor changes (clarifications, typos) take effect on publication. Continued use after the effective date constitutes acceptance. If you disagree with the changes, you can close the account before the effective date, with pro-rata refund of the unused paid period.

16. Force majeure

Neither party is liable for failure to perform obligations due to force majeure: natural disasters, pandemics, wars, major cyber-attacks, public infrastructure outages, governmental actions, etc.

17. Governing law and disputes

These Terms are governed by Romanian law. Any dispute will first be resolved amicably. Otherwise, jurisdiction lies with the courts in Bucharest.

EU consumers may use the Online Dispute Resolution (ODR) platform or contact the Romanian National Authority for Consumer Protection (ANPC).

18. Miscellaneous

  • Entire agreement: these Terms + Privacy + DPA (if applicable) constitute the entire agreement between the parties
  • Severability: if any clause is void, the rest remain valid
  • Non-assignment: you cannot assign the account without our written consent. Natix may assign the contract in case of reorganization/sale
  • Notices: the email in your account is the official communication channel
